These terms cover consulting: Workspace, Build and Care. Consulting is provided by Jonathan Kleiman, as an individual. It is not legal advice and creates no lawyer-client relationship.
1How work is agreed
Nothing starts until you accept a written proposal. The proposal lists each piece of work, its price, what you will receive and any deposit. Scoping half-days are paid in advance.
2Workspace
Your workspace is deployed in your own cloud account, under your name and domain. You hold the account and pay the hosting provider directly. I need access to deploy and to manage it under Care. You can remove that access at any time.
The workspace is built on open-source software. Its licence terms, including any required notices, come with it and are listed in the handover documents.
3Build
Each workflow is delivered verified, documented and tested, and handed over to you. Acceptance is as described in the proposal. If a delivered workflow doesn’t meet its written description, I fix it at no charge.
4Care
Care is required with a Workspace. It includes updates, security patches, support and access to the verified law. It is billed monthly and continues until either of us cancels with 30 days’ notice.
5Your data and your duties
Your matters, documents and client information stay in your cloud account. I access them only to do the work you asked for, and I keep them confidential. You remain responsible for your own professional obligations, including confidentiality, supervision, and the AI model policy you set for your firm.
6Payment
Invoices are due within 30 days. Deposits are credited to the final invoice. Prices are in Canadian dollars, plus HST.
7Liability
To the extent the law allows, my total liability is limited to the fees you paid in the 12 months before the claim. I am not liable for indirect or consequential loss.
8Law
Governed by the laws of Ontario and the federal laws of Canada that apply there.
